HAIXI PHARMA announces board reshuffle: Non-Executive Director Wang Xinkun resigns; Chen Tingze nominated as Executive Director

Fujian Haixi Pharmaceuticals Co., Ltd. (“HAIXI PHARMA”) reported that Non-Executive Director Wang Xinkun will step down once shareholders elect a replacement at an upcoming general meeting. The resignation is attributed to a job transfer, and Wang confirmed no disagreement with the board or other issues requiring shareholder attention. The board expressed appreciation for Wang’s contributions during his tenure.

Concurrently, the board approved the nomination of Chen Tingze as an Executive Director, following endorsement by the Nomination Committee on 9 July 2026 and board approval on 15 July 2026. Chen’s term will begin upon shareholder approval and run to the end of the current board’s second session. He will not receive a director’s fee; instead, he will earn an annual remuneration of approximately RMB0.64 million in his existing role as General Manager for Domestic Marketing.

Chen, aged 43, holds a junior college diploma and a bachelor’s degree in clinical medicine. His career spans clinical practice and senior sales roles at GlaxoSmithKline, Hisun-Pfizer, Chengdu Kanghong, Zhejiang Medical Technology Development, and Sino Universal Pharma. He joined HAIXI PHARMA in March 2022 as Sales Director and General Manager for Domestic Marketing and has served concurrently as Director and General Manager of Haixi Pharmaceuticals (Fuzhou) Co., Ltd. since June 2025.

Through personal contributions of RMB2.50 million and RMB1.00 million to Xiamen Jindonghong Venture Capital Partnership (1.9231% stake) and Xiamen Jindongshi Venture Capital Partnership (2.3529% stake), respectively, Chen holds indirect interests in entities that own 5.6984% and 4.9863% of HAIXI PHARMA’s total share capital. He does not currently hold direct shares in the company, has no other listed-company directorships in the past three years, and maintains no relationships with directors, senior management, or substantial shareholders.

Shareholders will vote on Chen’s appointment via ordinary resolution at an extraordinary general meeting; a circular with full details will be dispatched in due course.

As of 15 July 2026, HAIXI PHARMA’s board comprises Executive Directors Kang Xinshan (Chairman), Feng Yan, Chen Guangming, and Li Junqing; Non-Executive Directors Wang Xinkun and Xu Dong; and Independent Non-Executive Directors Wang Shan Shan, Pu Meiting, and Lin Bin.
