CITIC Limited has released the proxy form for its 2026 Annual General Meeting (AGM), outlining 17 ordinary resolutions for shareholder approval. The hybrid meeting is scheduled for 26 June 2026 at 11:00 a.m. Hong Kong time, combining a physical venue at JW Marriott Hotel Hong Kong with online participation via the Vistra eVoting Portal. Dividend Proposal • The Board proposes a final dividend of RMB0.385 per ordinary share for the financial year ended 31 December 2025. • Unless shareholders elect to receive the amount in Renminbi, the dividend will be paid in Hong Kong dollars, converted at the average benchmark exchange rate published by the People’s Bank of China during the five business days ending 26 June 2026.
2025 Financial Statements • Shareholders will vote on receiving the audited consolidated financial statements and the reports of the Directors and Auditor for the year ended 31 December 2025.
Board Composition • Fourteen directors—Mr. Xi Guohua, Mr. Zhang Wenwu, Mr. Liu Zhengjun, Mr. Wang Guoquan, Ms. Li Yi, Mr. Yue Xuekun, Mr. Yang Xiaoping, Mr. Li Zimin, Mr. Anthony Francis Neoh, Mr. Francis Siu Wai Keung, Dr. Xu Jinwu and Mr. Chen Yuyu—are standing for re-election.
Auditor Re-appointment • The Board recommends re-appointing KPMG as the Company’s external Auditor and authorising the Directors to fix the Auditor’s remuneration.
General Mandates • Shareholders will consider granting a general mandate allowing Directors to issue and dispose of additional shares up to 20% of the Company’s issued share capital (excluding treasury shares). • A separate mandate authorising the purchase of shares up to 10% of issued share capital (excluding treasury shares) is also proposed.
Logistics for Proxy Voting • Proxy forms must be lodged with Tricor Investor Services Limited at least 48 hours before the AGM, or submitted electronically via the Vistra eVoting Portal by 11:00 a.m. on 24 June 2026. • Shareholders may appoint the Chairman or another proxy to vote on their behalf, with multiple proxies permitted if shareholdings are split.
