Xinming China Finalises Share Consolidation, Issues Clarification on EGM Poll Results

Xinming China Holdings Limited announced that all prerequisites for its Share Consolidation have been met, including receiving approval from Hong Kong Exchanges and Clearing Limited for the listing and dealing of the Consolidated Shares. As a result, the Share Consolidation became effective on 3 June 2026.

The Board clarified that in the poll results announcement released on 1 June 2026, every reference to “Capital Reorganisation” should be interpreted as “Share Consolidation,” and “Adjusted Share” should be read as “Consolidated Share.” The previously titled section “UPDATE ON THE CAPITAL REORGANISATION” is therefore omitted. All other details in the 1 June 2026 announcement remain unchanged.

This update follows the Company’s circular dated 15 May 2026, which outlined the Share Consolidation and the planned 2026 Rights Issue. The Board of Directors currently comprises Executive Directors Chen Chengshou and Shi Jianwen, alongside Independent Non-Executive Directors Chan Wai Yan, Huang Chunlian and Lee Yin Man.
