China Telecom Plans Board Refresh: Seven Directors Up for Re-election, Two New Independent Directors Nominated

China Telecom announced that the eighth Board term will end at the 2025 annual general meeting (AGM). At that AGM, shareholders will vote on a package of appointments forming the ninth Board term (excluding the employee representative):

• Re-election of Executive Directors: Ke Ruiwen (Chairman & CEO), Liu Guiqing (President & COO), Tang Ke, and Li Yinghui. • Re-election of Non-Executive Director: Lyu Yongzhong. • Re-election of Independent Non-Executive Directors (INEDs): Ng Kar Ling Johnny and Lee Sunny Wai Kwong. • Election of two new INEDs: power-sector veteran Liang Xuming and business-academia executive Chen Ji Min.

If approved, the ninth Board term will run from the 2025 AGM through the 2028 AGM, scheduled for 2029. An employee director will be elected separately by staff representatives, and directors’ remuneration for 2026 will be put to a shareholder vote at the same AGM.

Both new INED nominees confirmed compliance with Hong Kong Listing Rule 3.13 independence criteria, hold no shares in the company, and have no past or present connections with core connected persons.

A circular detailing the nominations and the 2026 remuneration proposal will be dispatched to shareholders in due course.
