Shanghai INT Medical Instruments Co., Ltd. (INT Medical, 01501) has released a multifaceted governance update ahead of its planned A-share IPO.
Non-Executive Changes • Non-executive director Wang Ruiqin resigned effective 24 Aug 2026 for personal reasons. • Independent non-executive directors (INEDs) Jian Xigao and Hui Hung Kwan have submitted resignations after serving more than seven consecutive years—exceeding the six-year limit for A-share listings. Both will remain in post until successors are approved at the forthcoming extraordinary general meeting (EGM).
Proposed INED Appointments • Dr. Zhang Peng (59), chief physician at Xuanwu Hospital Capital Medical University, and • Dr. Lai Wan-lung (58), Managing Director of the International Banking and Finance master’s programme at Lingnan University, have been nominated as new INEDs for the fourth board session. Each will receive annual remuneration of RMB0.12 million, subject to shareholder approval at the 24 Sep 2026 EGM.
Employee Representative Director • Staff elected Ms. Chen Jie (44), currently an administrative department manager and supervisor at several INT Medical subsidiaries, to serve as employee representative director. She will not receive director’s emoluments.
Board Committee Realignment (effective upon INED appointments) • Audit Committee: Xu Congli (Chair), Dr. Lai and Ms. Chen; Hui Hung Kwan and Dr. Song Yuan step down. • Remuneration Committee: Dr. Lai (Chair) and Xu Congli; Jian Xigao and Hui Hung Kwan step down. • Nomination Committee: Dr. Zhang (Chair) and Xu Congli; Jian Xigao exits. • New Strategy & Sustainability Committee formed, chaired by Dr. Liang, with Dr. Zhang and Dr. Lai as members.
Chairman Share Award Proposal The Board seeks shareholder authorisation to grant Chairman and CEO Dr. Liang Dongke up to 5.21 million H-share awards—50% of the scheme’s 10.42 million-share limit—representing 2.47% of the current 211.20 million issued H shares. The shares will be sourced on-market via the existing H Share Award and Trust Scheme: • Vesting: 30% after 24 months and 70% after 36 months, contingent on service continuity and performance targets. • Clawback: Full forfeiture if misconduct harms the company’s interests.
To date, the scheme’s trustee has purchased 4.36 million H shares (41.81% of the scheme limit). After a 33,400-share grant to Dr. Liang on 28 Jun 2026, 4.32 million shares (2.05% of issued share capital) remain available for future awards.
Governance Documents The Board proposes amending the Articles of Association and the Rules of Procedures for the Board to recognise the employee representative director role and the newly established Strategy & Sustainability Committee.
Extraordinary General Meeting Shareholders will vote on the INED appointments, the proposed share award to Dr. Liang, and the constitutional amendments at the EGM scheduled for 2:00 p.m. on 24 Sep 2026 in Shanghai. The meeting circular will be published on the HKEX and company websites in due course.
