Dynasty Digital Holdings Limited announced that its indirect wholly-owned unit, Suzhou GCL New Energy Operation Technology, has signed a three-year Operation and Maintenance Services Agreement with Shenzhen-listed GCL System Integration Technology Co., Ltd. Covering five solar power plants in mainland China with a combined installed capacity of 135.85 MW, the contract runs from 30 July 2026 to 29 July 2029 and carries a total consideration of approximately RMB 12.43 million (USD 1.73 million).
Under the agreement, Suzhou GCL Operation will deliver daily and routine maintenance, emergency repairs and other operational support. The service fees are structured on a cost-plus basis—incorporating labour, maintenance materials and a profit margin of about 10%-15%—and will be settled quarterly. Annual fee caps have been set at RMB 2.45 million for the remainder of 2026, RMB 5.13 million for 2027, RMB 3.06 million for 2028 and RMB 1.79 million for the first seven months of 2029.
Regulatory context: GCL System Integration is an associate of Golden Concord Group, which is controlled by the Zhu Family Trust. As Dynasty Digital’s executive chairman Mr Zhu Gongshan and family members are beneficiaries of this trust, the transaction is deemed a continuing connected transaction under Hong Kong Listing Rule 14A. Aggregated with previous similar deals, the relevant size tests fall between 0.1% and 5%. Consequently, the agreement is subject to reporting and announcement requirements but is exempt from circular issuance and independent shareholders’ approval.
Governance safeguards: Directors with deemed interests—Mr Zhu Gongshan, Mr Zhu Yufeng, Mr Huang Wei, Ms Sun Wei, Mr Yeung Man Chung (Charles) and Mr Fang Jiancai—abstained from voting. Dynasty Digital’s board, including all independent non-executive directors, considers the terms fair, reasonable and consistent with normal commercial practice. Ongoing internal controls include quarterly monitoring of transaction values, benchmarking of pricing against third-party rates and annual reviews by external auditors and INEDs to ensure compliance with Listing Rules.
Strategic rationale: Management expects the mandate to broaden service income streams and bolster economies of scale in the Group’s solar O&M segment, which complements Dynasty Digital’s core businesses of electricity sales, solar plant development and operations, and LNG trading.
