Mao Geping Cosmetics Sets 24 Apr 2026 for 2025 AGM; Key Votes on Profit Distribution, H-Share Mandates and Articles Revision

Mao Geping Cosmetics Co., Ltd. will convene its 2025 annual general meeting (AGM) at 14:30 on 24 April 2026 in Conference Room 1, 10/F, Wanyin Building, Shangcheng District, Hangzhou, Zhejiang Province, PRC.

Key ordinary resolutions to be tabled include: 1) approval of the 2025 annual report; 2) approval of the 2025 profit distribution plan; 3) re-appointment of the overseas auditor for 2026; 4) determination of directors’ remuneration for 2026; and 5) adoption of a remuneration management system for directors and senior management.

Special resolutions will seek shareholder consent for: 1) a general mandate authorising the board to issue H‐shares; 2) a general mandate authorising the board to repurchase H‐shares; and 3) amendments to the Articles of Association.

Shareholders recorded on the H-share register as at 24 April 2026 are eligible to attend and vote. The register will be closed from 21 April to 24 April 2026 (both days inclusive). Proxy forms and related authorisations must reach Computershare Hong Kong Investor Services Limited (H-shareholders) or the company’s Hangzhou head office (unlisted-shareholders) no later than 14:30 on 23 April 2026.

The current board comprises six executive directors—including Chairman and Executive Director Mao Geping—and three independent non-executive directors.
