Yangtze Optical Fibre and Cable Joint Stock Limited Company (YOFC, 06869) reported that Independent Non-Executive Directors Mr. Song Wei and Mr. Bingsheng Teng have submitted resignations after reaching the maximum consecutive-service period stipulated by the China Securities Regulatory Commission’s Administrative Measures for Independent Directors of Listed Companies.
Mr. Song leaves his posts as Independent Non-Executive Director and Audit Committee member, while Mr. Teng steps down as Independent Non-Executive Director and member of both the Nomination and Remuneration Committee and the Strategy Committee.
Because the departures will reduce independent representation on the Board to below one-third, their resignations will take effect only upon the election of new Independent Non-Executive Directors at an upcoming general meeting. Until that vote, both executives will continue to serve in their current capacities.
The company stated that each resigning director has confirmed no disagreement with the Board and no issues requiring shareholder attention. The Board expressed appreciation for their contributions to prudent financial policies, corporate governance and business development.
Following the announcement, the Board consists of: • 1 Executive Director • 7 Non-Executive Directors • 4 Independent Non-Executive Directors, including the two outgoing members who will remain until successors are approved.
YOFC plans to arrange the election of new Independent Non-Executive Directors “as soon as practicable” in line with regulatory requirements.
