Bank of Communications Schedules 2025 AGM for 26 June 2026; Shareholders to Vote on FY2025 Reports, RMB45.26 Million Auditor Mandate and Board Changes

Bank of Communications Co., Ltd. has issued a notice convening its 2025 annual general meeting (AGM) for 09:30 a.m. on 26 June 2026 at Bocom Financial Tower, Shanghai.

Key agenda items:

1. FY2025 performance review • Shareholders will consider the board of directors’ report, the audited financial statements and the profit-distribution proposal for FY2025.

2. 2026 operational plans • A fixed-asset investment plan for 2026 will be tabled for approval.

3. Auditor appointment and fees • The board proposes re-appointing KPMG as international auditor and KPMG Huazhen LLP as domestic auditor for FY2026, with combined remuneration of RMB45.26 million. The mandate runs until the close of the 2026 AGM, and the board (or senior management under board authorisation) will finalise contract details.

4. Compensation matters • Remuneration plans for directors and supervisors for FY2024 will be submitted for shareholder approval.

5. Board composition • Two candidates—Mr. Jin Panshi and Ms. Pan Yanhong—are nominated as independent non-executive directors, to be elected via cumulative voting.

Share-registration details:

• The H-share register will close from 23 June 2025 to 26 June 2026 (both dates inclusive). • H-shareholders must lodge transfer documents by 16:30 on 22 June 2026 with Computershare Hong Kong Investor Services to qualify for meeting attendance. • Proxy forms and supporting documents must reach the share registrar no later than 24 hours before the meeting.

All resolutions will be decided by poll in accordance with Hong Kong Listing Rule 13.39(4). The on-site AGM is expected to last half a day, and attendees will bear their own travel and accommodation expenses.
