Sirnaomics Ltd. reported that all resolutions tabled at its 23 June 2026 annual general meeting (AGM) were approved by decisive margins, underscoring strong shareholder support for the company’s strategic and governance agenda.
The company’s FY 2025 audited financial statements and related reports were adopted with 99.96% of the 19.81 million votes cast in favour. Director-related resolutions saw full endorsement: Dr. Yin Huijun, Mr. Wong Yu Shan Eugene, Dr. Zhang Peng and Ms. Lo Yee Hang were each re-elected as directors with 100% approval, while the Board’s authority to set directors’ remuneration was likewise unanimously supported. The proposed re-election of Mr. Ouyang Yunlong was withdrawn prior to voting.
Shareholders reaffirmed ZHONGHUI ANDA CPA Limited as external auditor, granting 100% approval for both reappointment and fee authority.
Key capital management mandates also passed comfortably: • General mandate to issue up to 20% of existing shares (excluding treasury shares) secured 99.97% support (19.81 million votes for; 5,000 against). • Authority to repurchase up to 10% of issued shares obtained 99.99% backing (19.81 million votes for; 2,950 against). • Extension of the share issue mandate by the volume of any shares repurchased was approved with 99.97% support.
A special resolution to adopt the sixth amended and restated Memorandum and Articles of Association—reflecting various governance updates—passed with 99.99% approval and became effective immediately on 23 June 2026.
Participation metrics: Sirnaomics had 109.72 million shares outstanding as of the meeting date. Approximately 19.81 million shares were voted in person or by proxy, while 9.85 million shares held under pre-IPO and RSU schemes did not exercise voting rights. Computershare Hong Kong Investor Services acted as scrutineer.
Director attendance comprised Executive Director Dr. Poon Hung Fai on site, with Dr. Yin Huijun, Mr. Wong Yu Shan Eugene, Dr. Zhang Peng and Ms. Lo Yee Hang participating via electronic means.
