Hisense HA unveils 2025 AGM agenda with RMB1.75 billion dividend, RMB23 billion fixed-income quota

Hisense Home Appliances Group Co., Ltd. (Hisense HA) has issued the notice for its 2025 annual general meeting, scheduled for 25 June 2026 in Qingdao. Ten resolutions—eight ordinary and two special—will be put to shareholders.

Key financial proposal • Dividend: The board recommends a cash payout of RMB12.65 per 10 shares, based on 1,384,115,264 outstanding shares. Total distribution would be RMB1.75 billion, leaving RMB7.07 billion in undistributed profit for future use. If the share count changes before payment, the total payout will be adjusted to maintain the RMB1.265 per-share rate.

Audit and reporting matters • Net profit attributable to shareholders for 2025 was RMB2.03 billion. • ShineWing Certified Public Accountants LLP is nominated for re-appointment as auditor for 2026, with audit fees expected to stay near the prior year’s RMB3.00 million.

Treasury and risk-management mandates • Foreign-exchange derivatives: Management seeks approval to operate instruments—such as forwards and swaps—up to an aggregate US$1 billion to hedge currency exposure. • Idle-fund investments: Up to RMB23 billion of self-owned funds may be deployed in low-to-medium-risk fixed-income products over the next 12 months on a rolling basis. • General mandates: The board requests authority to issue new shares equal to up to 20% of existing A- or H-share capital and to launch debt financing instruments with maturities of up to 15 years.

Governance and remuneration • Shareholders will vote on a new Remuneration Management System linking senior management pay to revenue, profit growth and ESG metrics; performance-related pay must represent at least 50% of total cash compensation. • Independent directors will continue to receive fixed allowances only, while external directors receive no pay beyond allowances.

Key dates • Shareholders of H-shares must be on record by 17 June 2026 to vote at the AGM. • The share register closes from 18–25 June 2026 for voting entitlement and from 3–10 July 2026 for dividend distribution. • Proxy forms are due by 24 June 2026.

The board recommends shareholders vote in favour of all resolutions to support Hisense HA’s continued operational and strategic initiatives.
