JINGCHENG MAC (00187): Li Zhongbo Nominated as Candidate for Non-Executive Director

JINGCHENG MAC (00187) announced that on November 24, 2025, the company received a written resignation letter from its Chairman, Mr. Li Junjie. Due to work adjustments, Mr. Li has resigned from his positions as Chairman, Non-Executive Director, member and Chairman of the Board Strategy Committee, member of the Board Remuneration and Appraisal Committee, and the company's authorized representative under Rule 3.05 of the Hong Kong Stock Exchange Listing Rules. He will also cease to serve as the company's legal representative, effective November 24, 2025. Following his resignation, Mr. Li will no longer hold any position in the company or its subsidiaries.

In accordance with the Company Law, Guidelines for Articles of Association of Listed Companies, Shanghai Stock Exchange Listing Rules, and other relevant regulations, as well as the company's Articles of Association, the Board convened the 15th interim meeting of the 11th Board of Directors on November 24, 2025. The meeting reviewed and unanimously approved the proposal to nominate Mr. Li Zhongbo as a candidate for Non-Executive Director of the 11th Board of Directors.

To fill the vacancy left by Mr. Li Junjie's resignation, the Board, upon nomination by the 11th Board Nomination Committee, agreed to propose Mr. Li Zhongbo as a candidate for Non-Executive Director. The nomination will be submitted for approval at the company's extraordinary general meeting. If approved, his term will commence from the date of the meeting until the conclusion of the company's 2025 annual general meeting.
