Bulletin Express10-28 16:42

Circuit Fabology Microelectronics Equipment Co., Ltd. (CFMEE) will seek shareholder approval to appoint Rongcheng (Hong Kong) CPA Limited (RCHK) as its international auditor for the financial year ending 31 December 2026. The proposal will be tabled as the sole ordinary resolution at the company’s second extraordinary general meeting (EGM) of 2026, scheduled for 2:00 p.m. on 17 November 2026 at CFMEE’s headquarters in Hefei, Anhui Province, PRC.

The Board, acting on the Audit Committee’s recommendation, selected RCHK after evaluating the firm’s independence, audit quality, industry expertise, staffing resources and alignment with public-interest governance practices. RCHK is part of the RSM China network, which currently audits CFMEE’s A-share financials through RSM China LLP. Management highlighted that appointing RCHK would streamline cross-border audit coordination and support consistency in accounting standards application.

Estimated audit fees for the 2026 engagement range from RMB0.50 million to RMB0.90 million, subject to no material changes in business scope, accounting policies or regulatory environment, and premised on timely information access for the auditor. If approved, RCHK’s tenure will run from the EGM’s approval date until the conclusion of CFMEE’s next annual general meeting.

The EGM will be conducted by poll in accordance with Hong Kong Listing Rules. H-shareholders recorded on 17 November 2026 are eligible to vote; the share transfer register will be closed from 12–17 November 2026. Proxy forms must reach Tricor Investor Services Limited by 2:00 p.m. on 16 November 2026.

The Board unanimously recommends that shareholders vote in favour of the appointment, citing RCHK’s demonstrated competence, independence and capacity to deliver high-quality audits.
