China Telecom (728) Announces Extraordinary General Meeting and Proposed Amendments

China Telecom (728) released details of an Extraordinary General Meeting (EGM) scheduled for 10:00 a.m. on 16 December 2025 at China Telecom Museum in Beijing. Shareholders will be asked to consider special resolutions related to amendments to the Articles of Association, the proposed abolition of the Supervisory Committee, and changes to the Rules of Procedures for both the Shareholders’ Meeting and the Meeting of the Board of Directors. Ordinary resolutions will include electing a new Independent Non-Executive Director, Mr. Lee Sunny Wai Kwong, and approving a remuneration proposal for the role.

According to the notice, the H Share Register of Members will be closed from 10 December 2025 to 16 December 2025 for the purpose of determining eligibility to attend. Share transfers must be lodged by 9 December 2025. Shareholders may appoint proxies to vote on their behalf and can cast votes on all proposed resolutions by poll. The company advises attendees to arrange their own transport and accommodation. The Board of Directors, as of the notice date, consists of executive leadership including the Chairman and CEO, alongside non-executive and independent non-executive directors.
