CGN New Energy Sets 28 May 2026 AGM; Seeks Director Re-election, 10% Share Buyback Mandate and 20% Issue Mandate

CGN New Energy Holdings Co., Ltd. will hold its Annual General Meeting (AGM) on 28 May 2026 at 10:00 a.m. in Hong Kong. Key resolutions to be put to shareholders are:

• Board composition – Executive Chairman Hu Guangyao, Non-executive Director Zhao Xianwen and Independent Non-executive Director Yang Xiaosheng will retire and stand for re-election. – The Nomination Committee confirmed Yang’s independence and the Board supports all three re-appointments.

• General mandates – Share repurchase mandate: authorises buybacks of up to 10% of issued shares, equivalent to 428.99 million shares, based on the current outstanding 4.29 billion shares. – Issue mandate: authorises the Board to allot, issue or transfer up to 20% of issued shares, or 857.98 million shares, including any sale of treasury shares.

Both mandates run until the earlier of the next AGM, the statutory deadline for holding the next AGM, or a prior revocation by shareholders.

• Dividend proposal – Final dividend of 1.61 US cents (approximately 12.54 HK cents) per share for FY 2025, subject to shareholder approval. – Register of members will close 5 – 9 June 2026; shareholders must lodge transfers by 4:30 p.m. on 4 June 2026 to qualify.

• Other business – Re-appointment of KPMG as auditor and authorisation for the Board to fix its remuneration. – Books closure for AGM: 22 – 28 May 2026; transfers must be lodged by 4:30 p.m. on 21 May 2026. – Proxy forms must be submitted to Tricor Investor Services no later than 48 hours before the meeting.

If the 10% repurchase mandate is fully exercised, the controlling shareholder China General Nuclear Power Corporation’s aggregate interest would rise from 72.30% to 80.34%, still above the public-float requirement and below the threshold requiring a mandatory general offer under Hong Kong’s Takeovers Code.
