Chery Auto Revises AGM Agenda, Nominates Xu Hui to Sixth-Session Supervisory Committee

Chery Automobile Co., Ltd. released a supplemental circular on 4 May 2026 adjusting the agenda of its Annual General Meeting scheduled for 9:30 a.m. on 20 May 2026 at the Chery Automotive Research Institute in Wuhu, Anhui Province. The revision follows Dr. Liu Guanhua’s decision not to stand for election as a non-employee representative supervisor.

Xu Hui, aged 58, is now the sole nominee for the non-employee representative seat on the sixth-session Supervisory Committee. Xu joined the Group in June 2006 and has served as a supervisor since March 2024. His previous roles include head of Chery’s legal and intellectual property department (June 2006–February 2015) and deputy general manager and board secretary of Chery Holding since April 2016. He also holds supervisory or directorship positions in several Chery subsidiaries and serves as an external director at Nanjing Wondux Environmental Technology Co., Ltd. Xu earned a bachelor’s degree in polymer science from Tongji University in 1991 and was awarded the title of associate researcher by Anhui authorities in 2002.

If elected, Xu will sign a three-year service contract with no entitlement to remuneration and can be removed by the Company within one year without compensation beyond statutory requirements. The Board states that Xu holds no shares in Chery Auto, has no relationships with directors or substantial shareholders, and meets all disclosure requirements under Hong Kong Listing Rules.

Shareholders wishing to vote by proxy must submit the revised proxy form no later than 9:30 a.m. on 19 May 2026. Previously lodged proxy forms will be superseded if a revised form is filed before the deadline. All resolutions at the AGM, including Xu’s election, will be decided by poll.

The Board recommends shareholders vote in favour of Xu Hui’s appointment, citing his 25-plus years of experience in intellectual property, corporate governance and operations management.
