Shuanghui Lincomycin Case Penalties Finalized: Chairman Wan Hongwei Personally Fined 37.64 Million Yuan While Receiving Zero Salary from Listed Company

Deep News10-10

On the evening of October 9, Henan Shuanghui Investment & Development Co., Ltd. (SZ: 000895) disclosed that the company, its subsidiary Wangkui Shuanghui, and four directors and senior executives collectively received eight administrative penalty decisions issued by three government authorities.

According to a line-by-line tally of the announcements, the total amount of confiscated illegal gains and fines reached approximately 129 million yuan, of which fines for the four individuals totaled approximately 56.36 million yuan.

The company stated that this will reduce its net profit attributable to shareholders for the 2026 fiscal year by 63.81 million yuan.

Penalty Details

The Wangkui County Agriculture and Rural Affairs Bureau imposed on Wangkui Shuanghui a confiscation of 1,653,897.24 yuan and a fine of 33,077,944.80 yuan for selling agricultural products with excessive veterinary drug residues, plus a warning and a fine of 50,000 yuan for failing to meet the 12-hour pre-slaughter fasting and resting requirement.

The Luohe City Animal Husbandry Bureau imposed on Shuanghui Development a confiscation of 1,700,963.04 yuan and a fine of 34,019,260.80 yuan for selling the involved pig products through its own channels.

The Luohe Market Supervision Administration issued a warning and a fine of 2,000,000 yuan to Shuanghui Development for failing to establish resting-period inspection standards, failing to appoint a qualified food safety director, failing to execute sampling inspection protocols, and issuing a misleading apology statement.

The same authority fined Chairman Wan Hongwei 37,646,221.70 yuan, Director and President Ma Xiangjie 5,660,991.27 yuan, Vice President Qiao Haili 6,469,449.94 yuan, and Chief Engineer Wang Yufen 6,586,174.63 yuan for the same reasons.

Event Timeline

On August 27, 2025, the production date of the involved pig hind leg meat was recorded. On August 28, 2025, the Changchun Customs Technology Center detected non-compliant lincomycin during a sampling inspection organized by the Heilongjiang Provincial Market Supervision Administration.

On October 10, 2025, the Wangkui County Agriculture and Rural Affairs Bureau received a case clue transfer letter from the market supervision department. In May 2026, the Heilongjiang Provincial Market Supervision Administration publicly announced the inspection results: lincomycin at 7,700 μg/kg, against the national standard limit of 200 μg/kg.

On May 25, 2026, Shuanghui responded for the first time, stating that lincomycin is not a mandatory出厂 inspection item at the slaughtering stage and was caused by upstream breeding medication. On May 28, 2026, the company issued an apology statement claiming that Wangkui Shuanghui tested 5,892 "batches" and slaughterhouses nationwide tested 38,863 "batches," all of which passed.

On October 9, 2026, the company disclosed receipt of eight administrative penalty decisions.

Three Notable Points of Doubt

Doubt One: "Batches" Versus "Heads" — A Single Character Difference Ruled Illegal

The May 28 apology statement claimed that Wangkui Shuanghui tested 5,892 batches and slaughterhouses nationwide tested 38,863 batches, all "fully qualified." The Luohe Market Supervision Administration determined that these figures actually referred to 5,892 heads and 38,863 heads, and that the use of "batches" constituted an erroneous表述, violating Article 9, Paragraph 1 of the Anti-Unfair Competition Law.

The inspection scale measured in "heads" is far smaller than the impression created by "batches." This表述 was formed during crisis public relations, and how the company's internal review process functioned has not been further explained.

Doubt Two: Chairman Receives No Salary from Listed Company but Faces the Highest Personal Fine

According to the annual report, Chairman Wan Hongwei received zero pre-tax remuneration from Shuanghui Development in 2025, drawing his salary from the related party WH Group instead. However, his personal fine of 37.6462 million yuan was the highest among the four individuals. His income beyond the announcements remains undisclosed.

Regarding direct compensation at the A-share listed company, according to the 2025 annual report and related announcements of Shuanghui Development, Wan Hongwei, as the current chairman, received zero pre-tax remuneration at the listed company level. However, publicly available market information indicates that Wan Hongwei received approximately 14.0576 million yuan in compensation from WH Group, the indirect parent company of Shuanghui Development, in 2025.

The real source of wealth for Wan Hongwei and his family comes through a complex cross-border equity structure that transfers Shuanghui Development's profits offshore to family trusts in the form of cash dividends.

The Wan Long family built a seven-layer nested holding structure: Wan Long and his son (ultimate beneficiaries) → Xing Tai Group (BVI) → Xiong Yu Investment (BVI) → WH Group (Hong Kong-listed) → Glorious Link (BVI) → Rotex (Hong Kong) → Shuanghui Development (A-share). Among these, Rotex Limited holds 70.33% of Shuanghui Development's shares.

Over the ten years from 2016 to 2025, Shuanghui Development accumulated approximately 50.967 billion yuan in net profit attributable to shareholders, but cumulative cash dividends reached 51.673 billion yuan, representing a dividend payout ratio of 101.4%, which drew down retained earnings from prior years. As the controlling shareholder, Rotex received approximately 35.9 billion yuan, accounting for over 70% of total dividends. Since 2020, cumulative dividend funds exceeding 21.2 billion yuan have entered BVI trusts and holding platforms.

In summary, Wan Hongwei did not directly receive compensation at the A-share listed company level, but his family has cashed out hundreds of billions of yuan from the Shuanghui Development system over the past decade through the seven-layer offshore equity structure and high-ratio cash dividend mechanism, ultimately consolidating these funds in offshore family trusts.

The fine ratios for the other three individuals relative to their 2025 pre-tax remuneration are inconsistent: President Ma Xiangjie at approximately 0.96 times, Vice President Qiao Haili at approximately 2.86 times, and Chief Engineer Wang Yufen at approximately 2.91 times.

Article 75 of the Implementation Regulations of the Food Safety Law uses "income obtained from the unit in the previous year" as the base, imposing penalties of 1 to 10 times that amount. The calculation base, corresponding year, and applicable provisions for these individual fines were not disclosed in the announcements and await clarification in the original penalty decision texts.

The 2025 pre-tax remuneration figures were as follows: Chairman Wan Hongwei received zero (with the annual report noting he receives compensation from a related party of the company), and his fine was 37.6462 million yuan. Director and President Ma Xiangjie received 5.9095 million yuan with a fine of 5.661 million yuan, a ratio of 0.96. Vice President Qiao Haili received 2.2655 million yuan with a fine of 6.4694 million yuan, a ratio of 2.86. Chief Engineer Wang Yufen received 2.2658 million yuan with a fine of 6.5862 million yuan, a ratio of 2.91.

Regarding biographical details disclosed in the annual report: Wan Hongwei, 52, holds a bachelor's degree. He previously served as chairman's secretary at Shuanghui Industrial Group and assistant to the CEO of WH Group, and currently serves as executive director and vice chairman of the board of WH Group and chairman of Shuanghui Development.

Ma Xiangjie, 54, holds a bachelor's degree in engineering and a master's degree in engineering, and is a senior engineer. He has served as general manager of multiple subsidiaries and general manager of the fresh products division, became president in December 2017, and currently also serves as an executive director of WH Group.

Wang Yufen, 58, holds a college diploma and is a senior engineer. She previously served as chief engineer and executive deputy general manager of Shuanghui Industrial Group and as a director and vice president of Shuanghui Development, and currently serves as chief engineer, holding 153,939 shares.

Qiao Haili, 61, holds a college diploma and is an engineer. She previously served as deputy general manager and general manager of production at the meat products division, and currently serves as vice president, holding 121,053 shares.

Doubt Three: "Non-Mandatory Inspection Item" Versus Quality Control System Responsibility

The company's first response in May stated that lincomycin is not a mandatory出厂 inspection item at the slaughtering stage. The problems identified in the penalty decisions include: failure to establish inspection standards for the "pig resting period," failure to appoint a compatible food safety director, and failure to strictly implement the company's own "Product Sampling Information Management and Disposal Specifications."

The regulatory focus has extended from "medication at the breeding end" to the company's own management systems. The specific frequency and coverage scope of "increased lincomycin sampling inspections" in the rectification plan have not yet been made public.

What was penalized was not just a batch of pork, but also an apology statement.

Penalty Amounts, Business Scale, and Internal Control Standards

From a financial perspective, the impact of these penalties on the company is limited. However, against the company's own internal control deficiency identification standards, the unit-level confiscations and fines have crossed the company's self-set quantitative threshold for "significant deficiencies," and the company's stated profit impact is also close to that threshold.

The 2025 operating revenue was 59.274 billion yuan, total profit was 6.673 billion yuan, and net profit attributable to shareholders was 5.105 billion yuan. The company stated that the 2026 net profit attributable to shareholders will decrease by 63.81 million yuan. Unit-level confiscation plus fines totaled approximately 72.5 million yuan, and individual fines totaled approximately 56.36 million yuan.

The quantitative threshold for "significant deficiencies" in non-financial reporting is a loss of ≥1% of total profit, approximately 66.73 million yuan. The 2025 internal control evaluation found zero major or significant deficiencies.

The company's internal control evaluation qualitative standards for major deficiencies in non-financial reporting explicitly include circumstances such as "food safety issues causing serious damage to the company's image" and "being penalized by relevant government departments." The 2025 evaluation report disclosed on March 25, 2026, identified zero deficiencies. How the 2026 internal control evaluation will characterize this penalty after it takes effect is worth watching.

Observations

The penalty structure in this case shows that regulatory accountability is extending from the product itself to corporate systems and individual managers.

Responsibility is sinking downward: four directors and senior executives received personal penalties, and the chairman's fine exceeded the company's fine. The application of personal liability provisions in the food safety field deserves attention.

Information disclosure compliance: the apology statement was found to violate the Anti-Unfair Competition Law due to the "batches/heads"表述, demonstrating that data表述 in corporate crisis responses is also subject to regulatory scrutiny.

Impact calculation: the company stated a profit impact of 63.81 million yuan, which differs from the approximately 72.5 million yuan unit-level total. The discrepancy in methodology awaits company explanation. The unit-level confiscations and fines have exceeded the company's self-set quantitative threshold for "significant deficiencies."

Follow-up tracking: whether individual fines will be borne or reimbursed by the company; implementation of rectification measures and third-party testing results; whether the board and management will be adjusted; and related disclosures at the WH Group level.
