Addvalue Technologies Ltd has released a filing on Sep, 18 2026 presenting detailed responses to shareholder questions related to its circular dated Sep, 1 2026 on the planned spin-off and U.S. listing of its satellite communications business (the “Spin-Off Group”).
The board said the spin-off is aimed at enhancing visibility of the group’s distinct operations, and it will consider providing additional segment information on the Remaining AVT Group after completion, subject to accounting rules, regulatory requirements and commercial sensitivity.
Work that Addvalue Innovation Pte Ltd performs for the Spin-Off Group—such as development and manufacturing of Inter-Satellite Data Relay System (IDRS) terminals—will be booked within the Remaining AVT Group and eliminated on consolidation where required.
The company also outlined the role of its Project Consultant Team, noting that introductions have been made to potential strategic investors and partners with expertise in commercial space, satellite communications, earth observation, satellite constellations, aerospace, defence and communications technology. Any partnership will depend on strategic fit and shareholder interests, and there is no assurance of selection.
Addvalue emphasised that the final structure, offer size and pricing of the proposed U.S. initial public offering have not been determined. Participation by strategic investors—either during the IPO or post-listing—will hinge on market conditions and regulatory approvals, with further announcements to be made when appropriate. The extraordinary general meeting to seek shareholder approval for the spin-off remains scheduled for Sep, 24 2026.
