Xinming China: AGM Approves All Six Resolutions with 100% Support

Xinming China Holdings Limited announced that all six ordinary resolutions tabled at its Annual General Meeting on 30 June 2026 were passed by way of poll with unanimous approval.

The AGM, held in Hong Kong, saw shareholders representing 286,800 shares cast their votes—equivalent to 7.63% of the company’s 3.76 million issued shares. No shareholder was required to abstain, and no votes were cast against any resolution.

Key resolutions approved:

1. 2025 Financial Statements and Reports – The audited consolidated financial statements and the reports of the Board and Global Link CPA Limited for the year ended 31 December 2025 were received and adopted.

2. Board Composition – Re-election of Executive Director Mr. Shi Jianwen. – Re-election of Independent Non-executive Directors Ms. Lee Yin Man and Ms. Huang Chunlian.

3. Auditor Re-appointment – Global Link CPA Limited was re-appointed as external auditor, with the Board authorised to fix its remuneration.

4. Share Issuance Mandate – Directors received a general mandate to allot and issue additional shares up to 20% of the company’s issued share capital.

5. Share Repurchase Mandate – Directors were authorised to repurchase shares not exceeding 10% of the issued share capital.

6. Mandate Extension – The share issuance mandate was extended to include shares repurchased under the buy-back mandate.

Tricor Investor Services Limited acted as scrutineer for the poll. Directors attending in person or electronically included Mr. Shi Jianwen, Ms. Chan Wai Yan, and Ms. Lee Yin Man, while Mr. Chen Chengshou and Ms. Huang Chunlian were absent due to business commitments.

All resolutions required a simple majority and achieved 100% support, thereby becoming effective immediately.
