Goldstream Investment Leads US$6.50 Million Series A in Grace Investment Machine, Takes 5.19% Stake and Plans Agentic-AI Asset Management Tie-Up

Goldstream Investment Limited (Goldstream; HKEX: 01328) has signed a share-purchase agreement, via wholly owned subsidiary Redpine Elite Limited, to invest US$6.50 million in Series A Preferred Shares of Grace Investment Machine Limited (GIM), an AI-native investment management firm incorporated in the Cayman Islands. On full conversion and dilution, the transaction will give Goldstream an approximate 5.19 % equity interest and the right to nominate one director to GIM’s board.

The round is co-led by Goldstream and B Capital, the investment firm chaired by Howard Morgan, founding president of Renaissance Technologies. Affiliates of IDG Capital and Monolith Management also participated. Goldstream will fund the investment entirely from internal resources; the board considers the terms arm’s-length, commercially normal, fair and reasonable.

Pending completion, Goldstream and GIM intend to enter a wide-ranging strategic cooperation focused on deploying GIM’s agentic artificial-intelligence (Agentic AI) technologies across Goldstream’s investment decision-making, risk management and portfolio-construction processes. Planned initiatives include:

1. Joint launch of fully automated investment funds or products based on Agentic AI in Hong Kong. 2. Full integration of GIM’s proprietary Agentic AI system into Goldstream’s operations to enhance efficiency and risk-adjusted returns. 3. Collaborative R&D to create new Agentic AI-powered financial service solutions, including potential ETFs and other investment vehicles.

Goldstream views artificial-intelligence-enabled financial services as a core strategic growth area and expects the partnership to accelerate its transition from a traditional diversified asset manager to an AI-empowered solutions provider.

No definitive agreements on the strategic cooperation have been signed; accordingly, implementation remains subject to further negotiation. As the Subscription’s transaction size is below the 5 % threshold under Hong Kong Listing Rule 14.07, it is not classified as a notifiable transaction. The company will issue additional disclosures if and when binding agreements are executed.
