Senior Material Proposes 2026 H-Share Incentive Plan, Calls 28 Aug EGM for Approval

Shenzhen Senior Technology Material Co., Ltd. (Senior Material) has issued a circular outlining two special resolutions to be tabled at an extraordinary general meeting on 28 August 2026 in Shenzhen.

The Board seeks shareholder approval for a new 2026 H-Share Incentive Plan covering up to 6.00 million existing H shares, equal to about 0.41 % of the company’s issued share capital (excluding any treasury shares). No new shares will be issued; the plan will be satisfied through on- or off-market purchases by an independent trustee, funded by company resources and any amounts payable by participants.

Participation is open to PRC and non-PRC directors and employees of the group, subject to local regulatory restrictions. Awards will have a minimum vesting period of 12 months and a maximum life of 10 years from the plan’s adoption date. Vesting is contingent on company performance targets and other conditions to be specified in individual award letters.

A second resolution seeks a blanket mandate authorising the Board, or its delegate, to manage all matters related to the scheme, including interpretation, grant parameters, performance metrics, adjustments, trustee appointments and share purchases.

The H-share register will close from 25 to 28 August 2026 (both days inclusive); holders registered on 28 August may attend and vote. Proxy forms must reach Computershare Hong Kong Investor Services by 2:30 p.m. on 27 August 2026. All voting will be conducted by poll.

The Board states that no existing shareholder is required to abstain from voting on the proposed resolutions.
