Lufax Holding Ltd has released an amended and restated Audit Board Committee Charter, which took effect upon its listing on The Stock Exchange of Hong Kong Limited. The document outlines the Committee’s purpose of overseeing the accounting and financial reporting processes, as well as the audits of corporate financial statements.

The charter requires the Committee to consist of a minimum of three directors meeting specific independence criteria under applicable U.S. securities regulations and the Hong Kong Listing Rules. At least one member must have appropriate professional accounting or related financial expertise, and one must qualify as an “audit committee financial expert” under United States Securities and Exchange Commission rules.

The charter specifies that the Committee is responsible for appointing and overseeing the external auditors, reviewing audit and non-audit engagements, and ensuring auditor independence through processes such as rotation of audit partners. Other core duties include examining the Company’s major accounting policies, internal controls, risk management strategies, and financial reporting integrity. The Committee also meets periodically with management, internal auditors, and external auditors to address potential issues in financial statements or internal controls.

The charter further empowers the Committee to investigate matters within its scope of responsibility and to engage independent counsel or consultants when deemed necessary. Additionally, it specifies procedures for handling complaints related to accounting or auditing matters. The Committee will evaluate its performance annually and submit findings to the Board of Directors.
