Lens Technology (300433.SZ) Plans to Acquire 100% Stake in PMG International to Expand into Server Cabinet Business for Specific Clients

Lens Technology Co., Ltd. (300433.SZ) announced on December 10, 2025, that it has signed a "Share Purchase Intent Agreement" with Leu Song-Show in Hong Kong, China. The company intends to acquire a 100% stake in PMG International Co., Ltd. through cash or other legal means. PMG International holds a 95.1164% stake in Yuan Shi Technology (Zhejiang) Co., Ltd.

According to the agreement, the seller guarantees that as of the signing date, PMG International and Yuan Shi Technology possess all necessary qualifications, technologies, intellectual property, R&D and business teams, production capabilities, and facilities to conduct server cabinet business (including but not limited to racks, slides, trays, Busbars, and other components) for specific domestic and international clients. These assets and capabilities will remain valid and unaffected for at least three years after the transaction closes to ensure business continuity.

The acquisition will enable Lens Technology to quickly gain mature technology, customer certifications, and advanced liquid cooling system integration capabilities in the server cabinet sector. This move will complement and synergize with the company's strong precision component manufacturing and vertical integration capabilities spanning "materials-modules-complete products."
