BANKCOMM Proposes Appointment of Jin Panshi and Pan Yanhong as Independent Non-Executive Directors

BANKCOMM (03328) has announced that its board of directors has passed a resolution recommending the appointment of Mr. Jin Panshi as an independent non-executive director of the bank, chairman of the board's personnel and remuneration committee, and a member of the board's audit committee. The board also recommends the appointment of Ms. Pan Yanhong as an independent non-executive director, a member of the board's audit committee, and a member of the board's personnel and remuneration committee.

According to relevant laws, regulations, regulatory rules, and the bank's articles of association, the appointments of Mr. Jin and Ms. Pan as independent non-executive directors and their positions on the board's specialized committees will take effect only after their appointments are approved by the bank's shareholders' general meeting and their qualifications are ratified by the National Financial Regulatory Administration.

Upon the effective date of their appointments, Mr. Zhang Xiangdong will step down from his roles as an independent non-executive director, chairman of the board's risk management and connected transaction control committee, and member of the board's audit committee. Concurrently, Ms. Li Xiaohui will cease to serve as an independent non-executive director, chairman of the board's audit committee, and member of the board's personnel and remuneration committee.
