FOURSEMI appoints Tse Yu Yeung as Joint Company Secretary; HKEX grants waiver for Gao Wenchao until March 2029

Shanghai FourSemi Semiconductor Co., Ltd. (FOURSEMI) announced senior management changes and an extended compliance waiver:

• Management transition: Mr. CHOW Shing Lung will resign as Joint Company Secretary and Hong Kong Process Agent on 10 April 2026. He expressed no disagreement with the board. Effective the same date, Mr. TSE Yu Yeung, currently Assistant Manager, Entity Solutions at Computershare Hong Kong Investor Services, will assume both roles. Mr. Tse holds an M.Sc. in Corporate Governance and Compliance from Hong Kong Baptist University (2024) and is an associate of The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK).

• Continuing role: Mr. GAO Wenchao remains as the other Joint Company Secretary. Gao, director of investment and financing since May 2025, previously worked in investment banking at China International Capital Corporation (2021–2025) and Minsheng Securities. He holds law degrees from Tianjin University (2014) and Shanghai Jiao Tong University (2017) and is licensed for SFC Type 1 and Type 6 activities.

• Listing Rules waiver: The Hong Kong Stock Exchange has approved a new waiver allowing Mr. Gao to continue as Joint Company Secretary without the formal qualifications stipulated under Listing Rules 3.28 and 8.17. The waiver is effective from 10 April 2026 through 30 March 2029, subject to two conditions: 1. Mr. Gao must be assisted by Mr. Tse during the period. 2. The waiver may be revoked if FOURSEMI commits material breaches of the Listing Rules.

Before the waiver expires, FOURSEMI must demonstrate that Mr. Gao has gained sufficient relevant experience to serve independently as company secretary.

The board expressed gratitude to Mr. Chow for his contributions and welcomed Mr. Tse to his new positions.
