Eprint Group Calls 21 Aug 2026 AGM; Proposes Director Re-election, PKF HK Reappointment, 20% Issuance Mandate and 10% Buyback Authority

Eprint Group Limited will convene its Annual General Meeting on 21 August 2026 at 11:00 a.m. in Kwun Tong, Hong Kong. Shareholders on record as of the same date, with the register closed between 18–21 August 2026, are entitled to attend and vote.

Key resolutions to be tabled include:

1. Financial Statements: Receive and consider the audited financial statements and the reports of directors and auditor for the financial year ended 31 March 2026.

2. Board Composition: • Re-election of independent non-executive directors Mr Poon Chun Wai, Mr Fu Chung and Mr Ma Siu Kit. • Authorisation for the board to determine directors’ remuneration.

3. Auditor: Re-appointment of PKF Hong Kong Limited as auditor with board-determined remuneration.

4. General Issuance Mandate: Authorisation for the board to allot, issue or deal with additional shares up to 20% of the company’s issued share capital (excluding any treasury shares) during the mandate period. The mandate also covers the grant of options, warrants or convertible instruments.

5. Share Repurchase Mandate: Approval for the company to repurchase up to 10% of its issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges, with discretion to cancel or hold repurchased shares as treasury stock.

6. Mandate Extension: Conditional on the above mandates being approved, the issuance mandate will be extended by adding the number of shares actually repurchased under the buyback authority, effectively allowing issuance of up to an additional 10% of the issued share capital.

Shareholders may appoint proxies by submitting forms to Tricor Investor Services Limited no later than 48 hours before the meeting. The board currently comprises three executive directors, one non-executive director, and four independent non-executive directors.
