ROKAE Robotics Updates Articles of Association After Full Exercise of Over-Allotment Option

ROKAE Robotics has amended several provisions of its Articles of Association to reflect changes in share capital following the full exercise of the over-allotment option linked to its recent global offering.

Key details:

• Over-allotment option exercise The international underwriters fully exercised the option on 5 August 2026, purchasing 3,454,700 H shares at HK 38.00 each. The allotment represented 15.0% of the shares initially offered.

• Enlarged share capital Total issued shares increased from 261,726,190 to 265,180,890. Correspondingly, registered capital rose from RMB 26.17 million to RMB 26.52 million.

• Breakdown of share classes Within the updated share count, 11,934,710 shares remain unlisted, while 253,246,180 are overseas-listed H shares.

• Articles amended 1. Article 6 now states registered capital of RMB 26.52 million. 2. Article 23 reflects the updated total share count and classification. 3. Article 217 clarifies that future amendments may become effective upon approval by either the shareholders’ meeting or the board (or its authorised person), replacing the previous requirement for shareholder approval only.

The company will complete all necessary registrations and filings with Chinese regulatory authorities. The full revised Articles of Association are available on the websites of the Hong Kong Stock Exchange and ROKAE Robotics.
