China Shenhua Energy Company Limited announced that its Board intends to appoint Mr. Yih Dieter Lai Tak and Ms. Zhang Mengjiao as independent non-executive directors (INEDs) for the sixth Board session, subject to shareholder approval at an upcoming general meeting.
If approved, the two candidates will replace current INEDs Dr. Yuen Kwok Keung and Dr. Chen Hanwen, who confirmed that their departures involve no disagreements with the Board and raise no issues requiring shareholder or creditor attention.
Candidate profiles: • Mr. Yih Dieter Lai Tak, 63, is a Justice of the Peace in Hong Kong and a partner at Kwok Yih & Chan. He holds an honorary Bachelor of Laws from King’s College London and currently serves on several public and corporate boards, including Sun Art Retail Group (INED), China Mengniu Dairy (INED), eMPF Platform Company (non-executive director), and Hong Kong’s Securities and Futures Commission (non-executive director). He has affirmed compliance with Hong Kong Listing Rule 3.13 on director independence.
• Ms. Zhang Mengjiao, 62, is a senior accountant with a master’s degree in accounting from Xiamen University. Her previous roles include Deputy Chief Accountant of Huaneng International Power Development Corporation and senior finance positions at Huaneng Power International. She also meets all Hong Kong Listing Rule 3.13 independence criteria.
Both nominees will serve until the end of the sixth Board term; their remuneration will be set by shareholders in line with recommendations from the Board’s Remuneration and Assessment Committee. The company will issue a circular detailing the proposals and convene a general meeting “as soon as practicable” for formal voting.
