Ximei Resources: AGM Approves All Resolutions, Confirms HK$0.0658 Final Dividend and Fresh Mandates

On 29 June 2026, Ximei Resources Holding Limited convened its Annual General Meeting, with shareholders or proxies representing 254.34 million shares—61.42% of the company’s 414.10 million issued shares—participating in the poll voting.

Key outcomes are as follows:

1. Financial Statements Endorsed • The audited consolidated results for the year ended 31 December 2025 were approved with 100% support.

2. Board Composition Ratified • Executive Director Ms. Huang Jieli (99.46% support), Non-executive Director Mr. Liao Longlong (99.88%), and Independent Non-executive Director Mr. Zhong Hui (99.92%) were each re-elected. • The Board was authorised to determine their remunerations.

3. Dividend Declaration • Shareholders backed a final dividend of HK$0.0658 per share with unanimous approval.

4. Auditor Re-appointment • Ernst & Young was re-appointed as external auditor until the next AGM, supported by 99.88% of votes cast.

5. Capital Mandates Renewed • A 20% general mandate to issue shares received 99.26% support. • A 10% share-repurchase mandate secured 100% approval. • The extension mandate, allowing the issuance limit to be increased by repurchased shares, was passed with 97.91% support.

All nine resolutions were carried as ordinary resolutions. Guangzhou Zhengde Certified Public Accountants acted as the scrutineer for the poll count. All seven directors attended the meeting either in person or via electronic facilities.
