Fosun Intl. AGM: 100% of Proposals Approved; 6.17 Billion Shares Cast Representing 75.71% of Issued Capital

Fosun International Limited (Fosun Intl., 00656) reported that all nine resolutions tabled at the Annual General Meeting held on 5 June 2026 in Shanghai were passed by large majorities on a poll basis.

• Shareholder participation – Total issued shares: 8.15 billion – Shares entitled to vote: 8.09 billion – Shares voted in person or by proxy: 6.17 billion, equal to 75.71% of issued capital

• Financial statements and auditors – Adoption of the FY-2025 audited consolidated financial statements received 6.17 billion votes in favour (99.97%). – Ernst & Young was re-appointed as auditor with 6.17 billion votes in favour (99.99%).

• Board composition and remuneration – Seven directors—Pan Donghui, Luo Yuanli, Zhang Shengman, Zhang Huaqiao, David T. Zhang, Dr. Lee Kai-Fu and the Board’s remuneration—were each re-elected or authorised with support ranging from 99.27% to 99.86%.

• Capital management mandates – 10% share-repurchase mandate approved with 99.99% support. – 20% general issuance mandate and the related extension mandate passed with 97.84% and 97.86% support, respectively. – Mandates to grant options under the 2023 Share Option Scheme and award shares under the 2023 Share Award Scheme each secured 97.83% approval.

• Corporate governance – New articles of association were adopted as a special resolution with 99.76% support.

Operational notes – Computershare Hong Kong Trustees Limited, holding 60.17 million unvested shares under Fosun’s share award schemes, abstained from voting as required by Listing Rule 17.05A. – All directors attended the meeting, which complied with Hong Kong Companies Ordinance and the company’s articles of association. – Computershare Hong Kong Investor Services Limited acted as scrutineer.

The decisive voting outcomes provide Fosun Intl.’s Board with renewed authority over capital allocation, equity incentive schemes and corporate governance modifications for the forthcoming year.
