Datronix: AGM to Seek Fresh Mandates, Board Re-elections and Bye-law Overhaul

Datronix Holdings Limited will convene its 2026 annual general meeting (AGM) on 4 June 2026 at 2:30 p.m. in Hong Kong. Shareholders will vote on five key proposals:

1. Capital mandates • 20% Share-Issue Mandate – Directors seek authority to issue up to 64.00 million new shares (20% of the 320.00 million shares in issue as at 22 April 2026). • 10% Share-Repurchase Mandate – Authority to buy back up to 32.00 million shares. • Extension mandate – Number of repurchased shares can be added to the share-issue limit.

2. Board composition • Re-election of executive director Siu Nina Margaret and independent non-executive director (INED) Wong Wah Sang, Derek, both retiring by rotation. • Election of INED Won Chik Kee, who joined the board in June 2025, for a first full term. • The Nomination Committee confirms all three candidates meet independence, diversity and performance criteria.

3. Bye-law revamp • Comprehensive amendments to align with Hong Kong’s updated Core Shareholder Protection Standards (effective July 2025). • Key changes include explicit recognition of hybrid/electronic meetings and voting, streamlined electronic communication with shareholders, and modernised provisions for treasury shares. • A special resolution will adopt the new consolidated Bye-laws incorporating these updates.

Administrative details • Shareholder register closes 1–4 June 2026 (both dates inclusive). • Proxy forms must reach Computershare Hong Kong Investor Services by 2:30 p.m. on 2 June 2026. • All AGM resolutions will be decided by poll; results will be published in line with Listing Rule 13.39(5).

The board recommends that shareholders vote in favour of all resolutions, citing alignment with best governance practices and enhanced capital management flexibility.
