China Communications Construction Company Limited (CCCC) has released its circular for the Annual General Meeting (AGM) scheduled on 18 June 2026 in Beijing. Key resolutions to be put to shareholders include dividend distribution, fresh financing plans, a remuneration overhaul and a registered capital change.
Dividend Policy • 2025 Profit Distribution: The Board proposes a cash dividend of RMB 0.19488 per share, totalling about RMB 3.17 billion, equal to 21.5% of 2025 net distributable profit of RMB 14.75 billion. • Interim Dividend Authorisation: Directors seek authority to distribute a 2026 interim dividend, capped by 1H26 attributable net profit and subject to liquidity and regulatory conditions. • Final Dividend: After accounting for the RMB 1.91 billion interim dividend already paid for 2025, the final cash payout equates to RMB 0.07729 per share (approx. HKD 0.08745) for shareholders on record as of 20 July 2026.
Capital-Market & Financing Plans • Asset-Backed Securitisation: Management requests approval to issue products backed by receivables, PPP and other infrastructure assets in multiple tranches, up to RMB 99.00 billion within 12 months. • Bond Registration: The Company plans to register and issue up to RMB 20.00 billion of corporate bonds on the Shanghai Stock Exchange. • Guarantee Cap: The 2026 ceiling for intra-group financing guarantees is set at RMB 50.94 billion, including RMB 7.86 billion from the parent to subsidiaries, RMB 41.04 billion from subsidiaries to their units and RMB 2.04 billion to joint ventures.
Governance & Audit • Auditor Rotation: KPMG Huazhen LLP (PRC) and KPMG (international) are nominated as 2026 auditors with combined fees estimated at RMB 25.08 million. • Remuneration Framework: A new Policy of Remuneration Management for Directors and Senior Management will be tabled, aligning pay with performance, long-term value creation and claw-back provisions. • Independent Directors: Duty-performance reports for 2025 will be reviewed; no objections or abstentions were recorded in Board voting during the year.
Registered Capital Adjustment Following the repurchase of 137.26 million A-shares, CCCC proposes to reduce registered capital from RMB 16.28 billion to RMB 16.14 billion and amend related Articles of Association to facilitate future buybacks and equity incentive adjustments.
Meeting Logistics The share register closes 15–18 June 2026 for AGM attendance and 15–20 July 2026 for the 2025 final dividend entitlement. Proxies must be lodged by 17 June 2026.
If all resolutions pass, CCCC will enhance shareholder returns, expand funding channels and update its governance framework for the next phase of strategic growth.
