Horizon Robotics Issues 1.30 Billion Class B Shares to CARIAD, Enlarging Share Base by 8.93%

Horizon Robotics disclosed that on 03 August 2026 it allotted 1.30 billion new Class B ordinary shares to CARIAD at HKD 3.99 per share under the terms of an Amendment Agreement referenced in the company’s prospectus dated 16 October 2024 and announcements of 22 July 2026 and 03 August 2026.

The issuance raised the company’s outstanding share count (excluding treasury shares) from 12.46 billion to 13.76 billion, representing an 8.93% expansion. Treasury shares remained unchanged at 80.16 million, bringing total issued shares to 13.84 billion.

The new shares carry weighted-voting-rights (WVR) and are identical in all respects to existing Class B shares listed on the Hong Kong Stock Exchange.
