CHALIECO Publishes Proxy Form for 2025 AGM, Highlighting Profit Distribution, Debt Financing and Board Elections

China Aluminum International Engineering Corporation Limited (CHALIECO) has released the proxy form for its 2025 Annual General Meeting (AGM), scheduled for 9:30 a.m. on 30 June 2026 at Conference Room 211, Building C, No. 99 Xingshikou Road, Haidian District, Beijing. Holders of H shares can appoint the meeting chair or another proxy to vote on their behalf.

Key agenda items:

1. Board Work Report 2025 Shareholders will vote on the board’s operational review for fiscal year 2025.

2. Profit Distribution Plan 2025 The meeting will decide on the proposed allocation of 2025 profits.

3. Unrecovered Losses The board seeks shareholder confirmation that the Company’s unrecovered losses have reached one-third of total paid-in capital.

4. Authorisation for Debt Financing Management requests approval to issue onshore and offshore debt financing instruments.

5. Liability Insurance for Directors and Senior Management A resolution proposes purchasing liability insurance to mitigate potential risks faced by directors and senior executives.

6. Directors’ Remuneration 2026 Shareholders will consider remuneration standards for directors for the 2026 fiscal year.

7. Amendments to Remuneration Management Measures Proposed revisions concern the internal rules governing remuneration of directors and senior management.

8. Renewal of External Auditor The Company seeks to renew the appointment of its accounting firm.

Board Elections (Cumulative Voting):

• Election of Mr. Wang Dezhong as a non-executive director for the fifth board session. • Election of Ms. Hui Lai Kwan as an independent non-executive director for the fifth board session.

Voting mechanics:

• Resolutions 9 and 10 will employ cumulative voting, allowing each share a number of votes equal to the number of director positions up for election (one per resolution). • Proxy forms and supporting documents must reach Computershare Hong Kong Investor Services Limited by 9:30 a.m. on 29 June 2026—24 hours before the AGM.

Shareholders attending the AGM are responsible for their own travel and accommodation costs and must present valid identification for admission.
