China Energy Storage Technology Development Limited (CN ENGY STORAGE) has issued a white form of proxy for an Extraordinary General Meeting (EGM) scheduled at 10:30 a.m. (or immediately after the related Court Meeting) on Wednesday, 15 July 2026, at Units 5906–5912, 59/F, The Center, 99 Queen’s Road Central, Hong Kong.
Key agenda items:
1. Special Resolution – Capital Reduction and Share Cancellation • Shareholders will consider a scheme of arrangement that involves: – Reducing the issued share capital by cancelling all “Scheme Shares” as defined in the composite scheme document dated 22 June 2026. – Simultaneously restoring the Company’s issued share capital to its pre-cancellation amount by applying the reserve created from the cancellation to issue an equal number of new shares to the Offeror. • The resolution takes effect on the “Effective Date” subject to approval at the Court Meeting.
2. Ordinary Resolution – Implementation Authority and Delisting Application • Authorises any one director to execute all necessary actions, including consenting to any modifications the Grand Court of the Cayman Islands may require for the Scheme or related option proposal. • Empowers any one director to apply to The Stock Exchange of Hong Kong Limited for the withdrawal of the listing of the Company’s shares.
Voting Arrangements: • All resolutions will be decided by poll. • Shareholders on record may appoint the EGM Chairman or another proxy to vote on their behalf; proxies must attend in person. • Completed proxy forms must reach Tricor Investor Services Limited by 10:30 a.m. on 13 July 2026 (Hong Kong time), 48 hours before the EGM.
Logistics and Governance: • Joint shareholders may vote through the first-named holder on the register if multiple holders are present. • Attendance at the EGM in person overrides any submitted proxy.
The proposed Scheme, if approved, will result in CN ENGY STORAGE’s privatisation and pave the way for the subsequent delisting from the Hong Kong Stock Exchange.
