BUTONG Group Cuts Outstanding Shares by 0.93 Million via HK$26.98 Million June Buy-backs; Public Float Remains Adequate

Butong Group disclosed its Monthly Return for the period ended 30 June 2026, highlighting a focused share repurchase programme and stable capital structure.

Authorised Capital • The company’s authorised share capital stayed unchanged at 500 million ordinary shares with a par value of USD 0.0001 each, equivalent to total authorised capital of USD 50,000.

Issued & Treasury Shares • Outstanding shares (excluding treasury) contracted by 925,700 to 89.36 million. • Total issued shares, including treasury stock, remained 90.75 million; treasury shares rose to 1.39 million, representing 1.53% of total issued capital.

Repurchase Activity • Four on-market transactions between 25–30 June repurchased 925,700 shares at an average consideration ranging from HK$28.86 to HK$29.22. • Aggregate cash outlay for the month’s repurchases is estimated at HK$26.98 million.

Share Option Scheme • The Share Incentive Plan adopted on 26 September 2024 showed 5.82 million options outstanding; no grants, exercises, cancellations or lapses occurred in June. • Up to 312,320 additional shares could be issued or transferred from treasury upon option exercise.

Public Float Compliance • As at 30 June 2026, the public float exceeded the initial prescribed threshold of 23.2% of issued shares, confirming continued compliance with Hong Kong listing rules.

No movements were reported for warrants, convertible securities or other equity-linked instruments during the month.
