Sa Sa International Holdings Limited has issued a circular convening its annual general meeting for 12:00 p.m. on 27 Aug 2026 at the Group’s Chai Wan headquarters in Hong Kong.
Key resolutions to be tabled include:
1. Financial statements • Shareholders will be asked to receive the audited consolidated results for the year ended 31 Mar 2026, already reviewed by the Audit Committee and audited by PricewaterhouseCoopers (PwC).
2. Dividends • Board recommends a final dividend of HK 3.40 cents per share, double the previous year’s HK 1.70 cents. • A final special dividend of HK 1.90 cents per share is also proposed (FY 2025: nil). • Record date for entitlement is 3 Sep 2026, subject to AGM approval.
3. Board composition • Re-election of four directors: Executive Directors Dr Kwok Siu Ming Simon and Dr Kwok Law Kwai Chun Eleanor; Independent Non-executive Directors Mr Tan Wee Seng and Prof Chan Hiu Fung Nicholas. • Board remuneration for these directors will be fixed by the board subject to shareholder authorisation.
4. Auditor • PwC is nominated for re-appointment as external auditor for the financial year ending 31 Mar 2027, with an estimated audit fee of HK $2.40 million.
5. General mandates • Share issue mandate: authority to allot and issue up to 20% of issued share capital, equivalent to a maximum 620.64 million shares based on the 3,103.19 million shares outstanding as of 17 Jul 2026. • Share buy-back mandate: authority to repurchase up to 10% of issued share capital, or 310.32 million shares. • A separate resolution will allow the number of shares bought back to be added to the issue mandate.
Shareholder logistics • Register of members will be closed from 24 Aug to 27 Aug 2026; transfers must be lodged by 4:30 p.m., 21 Aug 2026. • Voting will be conducted by poll; on-site e-voting and an online eVoting Portal are available. Proxy forms must reach Tricor Investor Services by no later than 48 hours before the meeting.
Capital structure snapshot • Issued shares: 3,103.19 million (excluding any treasury shares).
The board recommends shareholders vote in favour of all resolutions. Poll results will be published after market close on the AGM date.
