Easyhold Group Holdings Limited released a notice on 14 October 2026 convening an Extraordinary General Meeting (EGM) to seek shareholder approval for a fully underwritten rights issue aimed at raising up to HK$69.00 million.
The proposed rights issue will offer up to 138.00 million new ordinary shares at HK$0.50 each, representing one Rights Share for every existing share held on the record date. Entitlement will be limited to qualifying shareholders whose names appear on the register on the yet-to-be-specified record date, with overseas shareholders potentially excluded where legal or regulatory requirements make participation impracticable.
Implementation of the transaction is contingent on the Hong Kong Stock Exchange approving the listing and dealing of the Rights Shares in both nil-paid and fully-paid forms. Directors are seeking authority to allot and issue the new shares, manage any exclusions for overseas investors, and undertake all actions necessary to complete the capital raising.
Key timetable highlights: • EGM: 5 November 2026 (Thursday) at 11:00 a.m., 24/F, OfficePlus @ Wan Chai, 303 Hennessy Road, Hong Kong. • Register closure: 29 October 2026 to 5 November 2026 (both days inclusive) for determining EGM attendance and voting eligibility. • Proxy submission deadline: 11:00 a.m. on 3 November 2026.
Shareholders unable to attend in person may appoint one or more proxies; attending in person will override any proxy instructions. Weather contingencies apply, with postponement to be announced if Typhoon Signal No. 8 or above, a black rainstorm warning, or “extreme conditions” are in force after 10:00 a.m. on the meeting day.
As of the notice date, Easyhold’s Board comprises Executive Directors Chu Pui Him and Leung Yin Cheuk, Non-Executive Director Fok Siu Keung, and Independent Non-Executive Directors Wong Che Sang, Zhao Ming and Yin Shilu.
