REFIRE Calls 2026 EGM to Approve 10.00 Million Warrant Issue to Macquarie Bank

Shanghai REFIRE Group Limited (REFIRE) will convene its first extraordinary general meeting (EGM) of 2026 on 11 June 2026 at 10:00 a.m. (Hong Kong time) at Unit 1, 2/F, No. 655 Jinyuanyi Road, Jiading District, Shanghai.

The sole agenda item is a special resolution seeking shareholder approval for a subscription agreement signed on 21 May 2026 with Macquarie Bank Limited. Under the agreement, Macquarie will subscribe for 10.00 million warrants, each entitling the holder to purchase one new H share of REFIRE at an exercise price subject to customary adjustments.

Key terms for approval:

• Issue and allotment of up to 10.00 million warrant shares upon exercise of the warrants. • Grant of a specific mandate authorising the board to issue the warrant shares. • Authorisation for the board (or its delegates) to execute all documents and actions necessary to implement the subscription arrangement.

Shareholders recorded in the H-share register by the close of business on 5 June 2026 will be eligible to attend and vote. The register will be closed from 8 June 2026 to 11 June 2026 (both dates inclusive). All votes at the EGM will be taken by poll in accordance with Hong Kong listing rules.

REFIRE’s board currently comprises five executive directors, one non-executive director and three independent non-executive directors.
