Riverine China Holdings Limited has confirmed a series of senior management changes effective 15 April 2026.
Chief Financial Officer • Mr. Cai Yufei resigned from his roles as Chief Financial Officer (CFO), Company Secretary and Authorised Representative citing personal reasons. He affirmed that he has no disagreements with the board and no matters require shareholder attention. • Ms. Li Zhao Lei, previously Deputy CFO, succeeds Mr. Cai as CFO. Ms. Li, aged 35, joined the Group in January 2024 and was promoted to Deputy CFO in April 2025. She holds a Master’s degree in mining economics from the University of Science and Technology Beijing and became a non-practising member of the CICPA in 2021. Her background includes a decade of auditing, internal control and financial management experience at Beijing Boyuan CPA, Zhongxingcai Guanghua CPA, Shanghai Shifang Ecological Landscape and Spring Airlines.
Company Secretary • Ms. Chan Hun Man Lena, a Hong Kong-qualified solicitor and Law Society member since 1996, has been appointed Company Secretary under Listing Rule 3.28.
Authorised Representatives • Mr. Zhang Bo, the Group’s Vice President and head of strategic development, and Ms. Chan will serve as joint authorised representatives, replacing Mr. Cai. Mr. Zhang, aged 39, joined the Group in 2021 and brings more than a decade of strategic development and investment management experience.
Board Composition As of 15 April 2026, the Board comprises four executive directors (Mr. Xiao Xingtao—Chairman, Mr. Fu Qichang, Mr. Xiao Yuqiao and Ms. Wang Hui), one non-executive director (Mr. Zhang Yongjun) and three independent non-executive directors (Mr. Cheng Dong, Mr. Weng Guoqiang and Mr. Shu Wa Tung Laurence).
The Board expressed its appreciation for Mr. Cai’s contributions and welcomed Ms. Li, Ms. Chan and Mr. Zhang to their new roles.
