HATCHER GROUP (08365) Announces Formation of Joint Venture for Automated Trading of Tokenised Investments

Hatcher Group Limited (Stock Code: 08365) announced the signing of a joint venture agreement on 3 March 2026 with Esperanza Fintech Holdings Limited (“Esperanza”). Under the agreement, a new entity (“JV BVI Co”) will be formed, with Hatcher Group holding a 51.00% stake and Esperanza holding 49.00%. A subsidiary in Hong Kong (“JV HK Co”) will then seek a licence from the Securities and Futures Commission (SFC) to provide automated trading services for tokenised investments.

As part of the transaction, Hatcher Group will issue 39.00 million new shares (“Consideration Shares”) to Esperanza under its general mandate, representing approximately 19.62% of the issued capital and about 16.40% of the enlarged share capital (increasing from 198.75 million shares to 237.75 million shares). The initial capital commitment to the joint venture is estimated at HK$5.00 million. Subject to the SFC’s grant of the relevant licence and other conditions, the transaction is deemed a discloseable transaction under Chapter 19 of the GEM Listing Rules, requiring reporting and announcement but exempt from circular and shareholder approval. Completion is contingent upon the fulfilment or waiver of various prerequisites, including regulatory approvals, and may or may not proceed.
