TOPSPORTS Shareholders Approve All AGM Resolutions; Declare RMB 0.15 Dividend for FY 2025/26

TOPSPORTS International Holdings Limited reported that all eight ordinary resolutions proposed at its Annual General Meeting on 24 July 2026 were approved by shareholder poll, clearing the way for dividend distributions, board reappointments and refreshed share-issuance mandates.

The meeting recorded a voting turnout of 4.92 billion shares, representing 79.37% of the 6.20 billion shares in issue. Key resolutions and voting results are as follows:

1. FY 2025/26 Results and Dividends • The audited consolidated financial statements for the year ended 28 February 2026 were adopted with 99.86% support. • Shareholders sanctioned a final dividend of RMB 3.00 cents (HK$ 3.43 cents) and a special dividend of RMB 12.00 cents (HK$ 13.71 cents) per share, both to be paid on or about 20 August 2026 to shareholders on record as of 10 August 2026. The RMB/HK$ conversion rate applied was 1.00:1.1425, as quoted by the Hong Kong Association of Banks on 27 May 2026.

2. Auditor Re-appointment PricewaterhouseCoopers was re-appointed as auditor with 88.82% of votes in favour; 11.18% opposed. The Board is authorised to fix remuneration.

3. Board Composition & Remuneration • Re-election of Directors: – Executive Director Mr. Leung Kam Kwan: 95.80% approval – Non-executive Director Mr. Sheng Fang: 95.79% approval – Independent Non-executive Director Mr. Lam Yiu Kin: 86.19% approval • Directors’ remuneration mandate passed with 99.97% support.

4. Share Mandates • General mandate to issue new shares up to 20% of issued capital: 83.52% approval. • Repurchase mandate for up to 10% of issued shares: 99.97% approval. • Extension of issue mandate by amount of repurchased shares: 86.49% approval.

All resolutions required a simple majority and were duly passed. Computershare Hong Kong Investor Services Limited acted as scrutineer for the poll.

The Board currently comprises two Executive Directors (Mr. Yu Wu and Mr. Leung Kam Kwan), three Non-executive Directors (Mr. Sheng Fang, Ms. Yung Josephine Yuen Ching, Ms. Hu Xiaoling) and three Independent Non-executive Directors (Mr. Lam Yiu Kin, Mr. Hua Bin, Mr. Huang Victor).
