Hangzhou Diagens Biotechnology Co., Ltd. (Diagens) will convene its 2026 first extraordinary general meeting (EGM) at 2:00 p.m. on Thursday, 23 July 2026 in Conference Room 1, 9th Floor, Building A, No. 609 Hongfeng Road, Linping District, Hangzhou, Zhejiang, PRC.
Key agenda • Special Resolution: Shareholders will vote on “Resolution on the Adjustment of Business Scope and the Adoption of the Amendments to the Articles of Association.”
Voting and participation • All resolutions will be decided by poll; results will be posted on the company’s website (www.diagens.com) and HKEX’s website (www.hkexnews.hk) after the meeting. • Shareholders recorded on Monday, 20 July 2026 are eligible to attend and vote. The register of members will be closed from Monday, 20 July 2026 to Thursday, 23 July 2026 (both dates inclusive). • To be eligible, holders of H shares must lodge transfer documents and share certificates with Computershare Hong Kong Investor Services Limited by 4:30 p.m. on Friday, 17 July 2026. • Shareholders may appoint one or more proxies; completed proxy forms must reach Computershare by 2:00 p.m. on Wednesday, 22 July 2026.
Administrative notes • Attendees should present valid identification; corporate representatives must provide notarised authorisation documents. • The EGM is expected to last less than half a day. Participants will bear their own travel and accommodation expenses.
Board composition As at the notice date, the board comprises two executive directors (Dr. Song Ning, Mr. Weng Chih-Hsin), three non-executive directors (Dr. Xu Chen, Dr. Wu Lingqian, Mr. Yang Zehao) and three independent non-executive directors (Mr. Cha Yang, Ms. Zhang Jing, Mr. Wang Kaifeng).
