Haizhi Tech Group Announces Director Resignation, Audit Committee Reshuffle and Plan to Resize Board

Beijing Haizhi Technology Group Co., Ltd. (“Haizhi Tech Group”) disclosed three governance updates dated 15 May 2026.

The board received the resignation of non-executive director Long Yu, effective 15 May 2026, citing the need to focus on other commitments. The departing director confirmed no disagreements with the board and no matters requiring shareholder attention.

Simultaneously, the audit committee’s composition shifted. Non-executive director Li Jiaqing stepped down from the committee, while independent non-executive director Ma Yeming joined. The three-member committee now comprises Li Shu Pai (chairman), Zhang Yifan and Ma Yeming.

To increase operational flexibility, the board proposed amending the articles of association to set the board size within a range of 7–15 directors, replacing the current fixed number of 11. The amendment requires approval by special resolution at the forthcoming annual general meeting; detailed materials and the meeting notice will be circulated to shareholders in due course.

As of the announcement date, the board consists of four executive directors, two non-executive directors and four independent non-executive directors.
