Deep News08-26

I. Case Has Been Filed

Following the receipt of penalties, legal teams have prepared relevant evidence materials and collected information from affected investors to file the case, which has now been accepted for processing. Looking back at this case, on July 13, Doushen(Beijing)Education&Technology Inc. announced that the company and related parties received an "Administrative Penalty Decision" issued by the Beijing Securities Regulatory Bureau, primarily for failing to fulfill information disclosure obligations in a timely manner.

Based on the penalty ruling, investors who purchased shares between July 1, 2022, and August 15, 2024 (inclusive), and sold after August 16, 2024, or still hold shares and suffered losses, are eligible to participate in the compensation claim. Participating investors need to prepare relevant trading records and identification documents for the legal team to conduct subsequent rights protection work. The legal team stated they will continue to closely monitor case developments and work diligently to protect investors' legitimate rights. They also remind investors to fully understand a company's fundamentals and potential risks when selecting investment targets, and to invest rationally.

II. Multiple Lawsuits Not Disclosed Timely

According to the preliminary notice, investigations revealed that from July 2022 to March 2023, Doushen(Beijing)Education&Technology Inc. and its controlling subsidiaries failed to properly disclose 5 litigation and arbitration matters according to regulations, and failed to timely disclose the Chabuchar Xibe case and Defeng Advertising case, with a cumulative case amount of 12.042 million yuan. Additionally, the company failed to timely disclose cases involving Zhang, Yulewwan, and Zhangjiakou, and did not disclose these in the 2023 interim report, with a cumulative case amount of 124 million yuan.

The Beijing Securities Regulatory Bureau decided to issue a warning to Doushen(Beijing)Education&Technology Inc. and impose a fine of 2.3 million yuan, with related responsible persons also being penalized. Relevant laws and regulations stipulate that when major events occur that may significantly impact the trading prices of listed company securities and their derivatives, and investors are not yet aware of them, the listed company should immediately disclose this information. The company was therefore investigated and given administrative penalties. Affected investors can check whether they suffered losses and participate in rights protection as early as possible.
