Sanergy Group Limited has issued a notice convening an extraordinary general meeting (EGM) for 27 April 2026 at 10:30 a.m. in Huixian Industries Concentration Zone, Xinxiang, Henan. Shareholders will vote on a single special resolution covering a multi-step capital reorganisation.
The proposed transaction comprises:
1. Share Consolidation • Every ten existing ordinary shares of US$0.01 par value will be consolidated into one share of US$0.10 par value. • Fractional entitlements will be aggregated and may be sold for the Company’s benefit. • Authorised share capital will change from US$50.00 million (5.00 billion shares) to US$50.00 million (500.00 million consolidated shares).
2. Capital Reduction • Immediately after consolidation, the paid-up capital on each consolidated share will be reduced by US$0.09. • Issued share capital will fall from US$19.38 million to US$1.94 million, creating a credit of US$17.44 million. • The credit will be transferred to a distributable reserve for uses permitted under Cayman Islands law and the Company’s constitutional documents.
3. Share Sub-division • Each authorised but unissued consolidated share of US$0.10 will be divided into ten new shares of US$0.01 par value. • Post-reorganisation, authorised share capital will revert to US$50.00 million, now represented by 5.00 billion new shares of US$0.01 each.
All new shares will rank pari passu in every respect. Implementation is conditional on approval by shareholders, compliance with Cayman Islands procedures and the Listing Committee of The Stock Exchange of Hong Kong granting listing and dealing approval for the new shares.
Key timetable details include a register of members closure from 22 April to 27 April 2026 (both days inclusive); share transfer documents must be lodged by 21 April 2026. Proxy forms must reach Computershare Hong Kong Investor Services by 10:30 a.m. on 25 April 2026.
The Board currently comprises Chairman and Executive Director Peter Brendon Wyllie, Executive Directors Adriaan Johannes Basson and Hou Haolong, Non-executive Director Wang Ping, and Independent Non-executive Directors Cheng Tai Kwan Sunny, Professor the Honourable Ngai Ming Tak Michael, and Chan Chore Man Germaine.
