Conant Optical Publishes 2025 Annual Report, Proposes RMB0.20 Final Dividend and Seeks New Share Issue & Buy-back Mandates

Shanghai Conant Optical Co., Ltd. (Conant Optical, 02276) released its 2025 Annual Report and convened its Annual General Meeting (AGM) for 11 June 2026 in Shanghai.

Key points:

1. Dividend • Board proposes a final dividend of RMB0.20 per share (tax inclusive) for FY-2025, payable on or before 11 August 2026 to shareholders on record as of 24 June 2026. • Share transfer books close 17–24 June 2026 for dividend entitlement.

2. AGM Arrangements • AGM scheduled for 11 June 2026, with book closure 8–11 June 2026. • Shareholders will vote on the 2025 Annual Report, directors’ and supervisors’ reports, audited financial statements, and all ordinary and special resolutions.

3. Auditor • Board recommends re-appointing Deloitte Touche Tohmatsu as external auditor for FY-2026; remuneration to be set by the Board.

Capital Authority • General Mandate to Issue Shares: up to 20 % of issued share capital, equating to a ceiling of 101.39 million new shares based on the current 506.93 million shares outstanding. • General Mandate to Repurchase Shares: up to 10 % of issued share capital, or 50.69 million shares. Both mandates will run until the next AGM, 12 months after approval, or earlier revocation.

5. Treasury Shares & RSU Schemes • Under the 2023 and 2025 Share Award Schemes, the trustee bought 14.99 million shares in the market during 2025 and 2026 YTD; these shares are held in treasury for employee incentives.

6. Share Price Reference • From April 2025 to April 2026, the stock traded between HKD42.50 and HKD64.80.

All proposals are subject to shareholder approval at the AGM.
