JXR Buys Back 1.32 Million Shares at HKD 2.27; Treasury Position Reaches 3.99 Million Shares

Jinxin Fertility Group Limited (abbrev. “JXR”) disclosed that on 28 August 2026 it repurchased 1.32 million ordinary shares on the Hong Kong Stock Exchange at prices ranging from HKD 2.25 to HKD 2.32, for a volume-weighted average cost of HKD 2.27 per share. The cash consideration totalled HKD 3.00 million.

Following the transaction, JXR’s outstanding share capital (excluding treasury shares) fell 0.05% to 2.701 billion shares, while treasury stock rose to 3.99 million shares. The company’s total issued share count remained unchanged at 2.705 billion shares because the repurchased shares are being held in treasury.

Under the general mandate approved on 25 June 2026, JXR is authorised to repurchase up to 262.51 million shares. Cumulative buybacks under this mandate now stand at 16.53 million shares, equivalent to 0.63% of the company’s issued share base on the mandate date.

In addition to treasury shares, JXR has 92.47 million shares (3.42% of current issued shares) that were repurchased between 27 March and 25 August 2026 and are earmarked for cancellation but remain outstanding as of 28 August 2026.

Pursuant to Hong Kong Stock Exchange rules, JXR is subject to a moratorium on issuing new shares or disposing of treasury shares until 27 September 2026.
