FORTIOR Announces Resignation of Joint Company Secretary and Proposed Successor

Fortior Technology (Shenzhen) Co., Ltd. (FORTIOR) reported that Mr. Sun Yunzi has resigned from his role as Joint Company Secretary due to work adjustments. Mr. Sun confirmed no disagreement with the Board and noted no matters requiring attention from Hong Kong Exchanges and Clearing Limited or shareholders.

Ms. Ma Wing Yee remains in office as the other Joint Company Secretary.

The Board resolved on 12 June 2026 to appoint Ms. Jiao Qianqian, aged 31, as Joint Company Secretary, subject to the Hong Kong Stock Exchange granting a waiver from strict compliance with Listing Rules 3.28 and 8.17. Ms. Jiao, currently the Board Secretary, joined FORTIOR in December 2021 and has led securities affairs since then. Her responsibilities include board administration, corporate governance, disclosure, capital operations, investor relations and securities affairs.

Although experienced, Ms. Jiao does not yet meet the formal professional qualifications for a company secretary under Rule 3.28; hence, the waiver request. Her appointment will take effect only upon approval of the waiver, after which FORTIOR will issue a further announcement.

The Board expressed appreciation for Mr. Sun’s contributions and welcomed Ms. Jiao’s proposed appointment.

As of the announcement date, the Board comprises Executive Directors Mr. Bi Lei (Chairman) and Dr. Bi Chao, and Independent Non-Executive Directors Dr. Lin Mingyao, Dr. Niu Shuangxia and Mr. Chen Jingyang.
