RUSAL: SUAL Partners Trims Voting Rights from 25.19% to 23.12%

United Company RUSAL disclosed that SUAL Partners LLC has reduced its direct and independently held voting stake in the aluminium producer.

• Change in voting power – Before the transaction on 18 March 2026, SUAL Partners controlled 3,827.33 million votes, representing 25.19 % of RUSAL’s total. – Following the reduction, the holding stands at 3,512.84 million votes, equal to 23.12 % of the total.

• Nature of the change – The adjustment stems from a reduction in SUAL Partners’ equity participation in RUSAL, terminating part of its right to dispose of votes attached to the shares. – The disposal is classified as direct and exercised independently, with no chain of controlled entities involved.

• Timeline – Effective date of the stake change: 18 March 2026. – RUSAL received formal notification on 10 April 2026 and released the information on 14 April 2026.

The update reflects a 2.07-percentage-point decline in SUAL Partners’ influence over RUSAL’s voting capital, moving the holding closer to, but still above, the 20 % disclosure threshold mandated by Russian securities regulations.
